Key features
Both sides bound alike
The agreement is written so each party is both a discloser and a recipient, with the same duties on each.
Say what it is for
Describe the purpose of sharing in your own words, so the information can only be used for that and nothing wider.
Dates and length in your own figures
You give the effective date and how many years the duties last. Nothing is suggested or pre-filled.
Attach a supporting document
Add a file that goes with the agreement, such as a description of the project, and note anything else the agreement should say.
Guided, with the agreement beside you
A few short screens: the parties, the terms and signing. The agreement takes shape next to the questions as you answer.
A lawyer reviews it before it is used
Your answers are prepared into a draft and reviewed by a qualified lawyer, rather than handed back to you as a finished form.
About this document
A mutual non-disclosure agreement is used when two parties will each share confidential information with the other, for example while exploring a deal or working together. Each side agrees to keep what it receives private and to use it only for the stated purpose.
Because the obligations run both ways, neither side is asked to accept terms the other is not. That makes it a natural fit when the information is flowing in both directions, and when you would rather not negotiate who is the discloser and who is the recipient.
This builder records what the two of you have agreed. State-specific wording and signing requirements are confirmed by a lawyer before anything is signed, and the draft says so rather than leaving you to assume it is complete.
