Key features

  • The agreement and the clause relied on

Identifies the agreement, any statement of work, the end date and the notice clause, by number or heading.

  • Why it is ending

A plain reason such as the project finishing, and, if an obligation was not met, what is said to have happened and when it was raised before.

  • Work to complete and deliver

What to finish, what to stop, what to deliver and to whom, and not starting anything new without asking.

  • Final invoice and property

When to send a final invoice, a payment period, the client's record of amounts paid, and returning equipment and deleting confidential information.

  • What continues, handover and rights reserved

Surviving obligations such as confidentiality and ownership of the work, optional paid handover help, and a statement that no right is given up.

About this document

A notice ending a contractor engagement tells a contractor that the engagement under a stated agreement will end on a date, which clause is relied on and why. It sets out work to finish and stop, what to deliver, the final invoice, return of property and information, obligations that continue and any help with handover.

This blank form is a letter to complete by hand. It reserves the client's rights and invites the contractor to say if the notice looks wrong. How an engagement can be ended is governed by the agreement, and if the relationship in practice looks like employment, other rules may apply, so check the agreement and ask a lawyer where a dispute is possible.
